Services

Valtrex.io provides business valuation advisory, exit planning, acquisition readiness, and related strategic consulting services. Our services are advisory in nature and do not constitute legal, accounting, or regulated financial advice.

Engagement Agreement

All service engagements are governed by a separate written engagement letter that specifies scope, deliverables, timeline, and fees. These Terms apply in addition to any engagement-specific agreements.

Intellectual Property

All methodologies, frameworks, reports, and materials produced by Valtrex — including the Enterprise Score Framework — are the intellectual property of Valtrex.io. Client deliverables are licensed for the client’s internal use only and may not be reproduced, distributed, or disclosed to third parties without written consent.

Confidentiality

Both parties agree to maintain strict confidentiality regarding all non-public information exchanged during an engagement. Valtrex employs institutional-grade information security practices. This obligation survives termination of the engagement.

Limitation of Liability

Valtrex’s advisory services are based on information provided by clients and publicly available data. We cannot guarantee specific valuation outcomes, transaction prices, or investment results. Our liability is limited to the fees paid for the specific engagement in which a claim arises.

No Guarantee of Outcomes

Business valuations, exit strategies, and acquisition readiness assessments are inherently forward-looking and subject to market conditions, buyer behavior, and factors outside our control. Past engagements and client outcomes do not guarantee future results.

Payment Terms

Payment terms are specified in each engagement letter. Failure to pay within agreed terms may result in suspension of services. All fees are exclusive of applicable taxes unless stated otherwise.

Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through binding arbitration before litigation.

Changes to Terms

Valtrex reserves the right to update these Terms at any time. Continued use of our services following any updates constitutes acceptance of the revised Terms.

Indemnification

You agree to defend, indemnify, and hold harmless Valtrex.io, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website and our services, including, but not limited to, your User Contributions, any use of the Website's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Website.

Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. This ensures that the remainder of the agreement remains legally binding and operational.

Entire Agreement

These Terms, our Privacy Policy, Cookie Policy, and any specific engagement letters or service agreements you enter into with us, constitute the sole and entire agreement between you and Valtrex.io regarding your use of the website and our advisory services. They supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the website and services.

Force Majeure

Valtrex shall not be liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in fulfilling or performing any term of these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of Valtrex including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion, or hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, epidemic, lockouts, strikes or other labor disputes, or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials.
